Terms of Service

These Terms of Service ("Terms") govern your access to and use of Headora (the "Service"), provided by ТОО "BY Solution" ("Headora", "we", "us", or "our"). The Service is accessible at https://headora.ai.

By creating an account or using the Service, you agree to be bound by these Terms. If you disagree, do not use the Service.


1. Description of Service

Headora is an AI-powered content automation platform for small businesses. The Service:

  • Conducts an onboarding interview to build a Brand Profile.
  • Generates personalized Instagram content (captions, posts, image suggestions) using AI agents.
  • Allows you to review, approve, edit, and schedule content.
  • (Phase 2, optional) Publishes approved content to your authorized Instagram account.

The Service relies on third-party AI models (Anthropic's Claude, OpenAI embeddings) and image search (Unsplash). Output quality depends on the input you provide and the underlying AI capabilities.


2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter binding contracts. By registering, you confirm you meet these requirements.

2.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update it as needed. You are responsible for safeguarding your password and for any activity under your account.

2.3 One Account Per Brand

Each Brand Profile is intended for one business. You may operate multiple accounts if you manage multiple brands, subject to a separate subscription per account.


3. Subscription Plans and Payment

3.1 Pricing

The Service offers tiered subscription plans:

  • Free Trial: Up to 5 posts generated, no credit card required.
  • Starter ($19/month): Up to 30 posts per month, full content generation, manual publishing.
  • Pro ($49/month): Unlimited posts (subject to fair-use cap of approximately 150 posts/month), automatic Instagram publishing (Phase 2), priority support.

Pricing is subject to change with 30 days' notice to active subscribers. Existing subscribers retain their current pricing through the end of their billing cycle.

3.2 Billing

Subscriptions are billed monthly via Stripe. Charges occur on the day you upgrade and recur on the same calendar day each month. Failed payments may result in service suspension after 7 days.

3.3 Refunds

You may request a pro-rated refund within 14 days of your initial subscription if the Service does not meet your needs. After 14 days, refunds are at our discretion. Cancellations take effect at the end of the current billing cycle.

3.4 Fair Use

The Pro plan is "unlimited" within reasonable use. We reserve the right to contact users generating in excess of 150 posts/month to discuss appropriate plan adjustments.


4. Intellectual Property

4.1 Your Content

You retain all rights to content you provide to the Service (Brand Profile, feedback, brand assets). By using the Service, you grant us a limited, non-exclusive license to process this content solely to provide the Service.

4.2 Generated Content

Content generated by Headora's AI based on your Brand Profile is yours to use, publish, modify, or distribute. We make no copyright claim on generated text.

However, we make no warranty that generated content is unique, original, or non-infringing. AI-generated text may inadvertently resemble existing works. You are responsible for reviewing content before publishing and for any third-party rights claims.

4.3 Headora's IP

The Service itself — including software, design, prompts, system architecture, brand name, and trademarks — is owned by ТОО "BY Solution" and protected by intellectual property laws. You may not copy, reverse-engineer, or create derivative works of the Service.

4.4 Image Attribution (Unsplash)

Images sourced from Unsplash include photographer attribution metadata. You agree to:

  • Display attribution where required by Unsplash's license (https://unsplash.com/license).
  • Not use Unsplash images in a way that violates their terms (e.g., compiling competing image databases).

5. User Conduct

You agree not to use the Service to:

  • Generate or publish illegal content (incitement to violence, hate speech, child sexual abuse material, etc.).
  • Generate misleading content about real persons (defamation, deepfakes, false attributions).
  • Impersonate other businesses, brands, or individuals.
  • Spam, harass, or harm others.
  • Reverse-engineer, scrape, or replicate the Service.
  • Bypass rate limits, security controls, or attempt to access other users' data.
  • Use the Service for any purpose that violates applicable law.

We reserve the right to suspend or terminate accounts that violate these rules without refund.


6. AI-Generated Content — Important Disclaimer

The Service uses large language models (LLMs) to generate text. By using the Service, you understand and agree that:

  • AI output is probabilistic and may contain errors, inaccuracies, or hallucinations. You are responsible for reviewing all generated content before publishing.
  • AI cannot verify facts. If your Brand Profile contains incorrect information (e.g., wrong supplier, wrong customer details), generated content will reflect those errors.
  • Generated content may inadvertently resemble existing works. While we deploy anti-plagiarism safeguards, no system is perfect.
  • Translation between languages is approximate. Generated content in Kazakh, Uzbek, Kyrgyz, or Tajik may contain idiomatic errors that a native speaker would correct.
  • Cultural and religious content requires human judgment. Holiday-themed and culturally-specific content is generated based on heuristics; you must review for appropriateness.

We do our best to ensure quality but make no warranty that generated content is fit for any particular purpose.


7. Phase 2 — Instagram Publishing (Future)

When automatic Instagram publishing becomes available:

  • You authorize Headora to publish content to your Instagram Business account via Meta's Instagram Graph API.
  • You grant authorization through Meta's official OAuth flow. We never see your Instagram password.
  • You can revoke authorization at any time. Revocation takes effect within 1 hour.
  • We only publish content you have explicitly approved. We do not publish without your review.
  • We are not responsible for actions taken by Meta (account suspensions, API rate limits, policy changes affecting publishing capability).
  • If Meta changes its API in ways that break the Service, we will notify you and work to adapt; however, we cannot guarantee continuous publishing capability.

8. Service Availability

8.1 Uptime Target

We target 99% uptime, measured monthly. We do not provide formal SLA guarantees with refunds for downtime, but we will communicate planned maintenance and major incidents.

8.2 No Warranty

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements.

8.3 Third-Party Dependencies

The Service depends on third parties (Anthropic, OpenAI, Supabase, Stripe, Meta, Cloudflare, etc.). Outages or policy changes by these providers may affect Service availability. We will use reasonable efforts to mitigate but cannot guarantee continuous availability.


9. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for indirect, consequential, incidental, or special damages, including loss of profits, business opportunities, or data, arising from your use of the Service.
  • Our total cumulative liability for any claim arising out of these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $100.
  • Some jurisdictions do not allow these limitations; in such cases, our liability is limited to the maximum extent permitted.

10. Indemnification

You agree to indemnify and hold harmless Headora, its officers, employees, and partners from any claims, damages, or expenses arising from:

  • Your use of the Service in violation of these Terms.
  • Content you generate or publish via the Service that infringes third-party rights or violates law.
  • Your breach of any representation or warranty in these Terms.

11. Termination

11.1 By You

You may cancel your subscription at any time via account settings. Cancellation takes effect at the end of the current billing cycle. You will retain access until then.

11.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms.
  • Fail to pay subscription fees.
  • Engage in fraudulent activity or abuse.
  • Are required by law to be terminated.

We will provide reasonable notice unless immediate termination is necessary to protect the Service or other users.

11.3 Data After Termination

Upon termination, your data will be deleted in accordance with our Privacy Policy. You may export your data prior to termination.


12. Modifications to These Terms

We may modify these Terms from time to time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

If you disagree with the changes, you may cancel your subscription before they take effect and receive a pro-rated refund for the unused portion.


13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the Republic of Kazakhstan, without regard to conflict-of-law principles.

13.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved as follows:

  1. Informal Resolution: First, contact us at support@headora.ai. We will work in good faith to resolve the dispute.
  2. Mediation: If informal resolution fails, parties agree to attempt mediation before pursuing legal action.
  3. Jurisdiction: Unresolved disputes shall be submitted to the courts of Алматы, Kazakhstan, with exclusive jurisdiction.

For users in the European Economic Area, you may also have rights under EU consumer protection law.


14. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Headora regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce a provision does not waive our right to enforce it later.
  • Assignment: You may not assign these Terms without our consent. We may assign them in the event of a merger, acquisition, or asset sale.
  • Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, war, internet outages, government actions, third-party API outages).

*By using Headora, you acknowledge that you have read, understood, and agreed to these Terms of Service and the Privacy Policy.*
